This programme is aimed at directors of tourism companies who want to obtain a clear understanding for the legal issues of being a director of a company during the Covid19 pandemic and its aftermath.
Module 1 Understanding the Maltese legal system. Outcome Able to understand the criminal, civil and administrative obligations and liabilities that a director has on his shoulder in managing in times of widespread global economic turmoil. Module 2 Understanding the role of the Director as spelt out in the Companies Act. Outcome Be able to identify the obligations and principles established in the Companies Act and legal principles that define the role of the director and obligations therof. Module 3 Understanding the criminal obligations outlines under the fiscal laws and occupational health and safety from a touristic product point of view. Outcome Be able identify the legal obligations towards the state in terms of fiscal and health and safety obligations that are of a criminal nature. Module 4 Understanding the Insolvency Act and ramifications of pre-insolvency on the personal obligations and when a civil action become a criminal activity. Outcome Be able to identify the obligations of a director in case of an insolvency and how to mitigate these risks in order to avoid them to transform into a criminal activity. Module 5 Understanding Contracting Law and how to enforce and understand its’ ramifications. Outcome Be able to understand the responsibilities under contracts with third parties and how to terminate/curtail them and claim force majeure. Module 6 Understanding Hypothecs and Banking Relations Outcome Be able to understand the legal and semi-legal client/bank relationship and how this can be managed professionally in order to avoid expensive mistakes. Module 7 Understanding Contract of Insurance and how to manage them Outcome Be able to understanding the legal principles of insurance contracts and how to proposed adjustments which are legally binding and reduce operational insurance costs in line with legal requirements and liabilities thereof. Module 8 Directors’ duties in the best interests of the company Outcome Be able to understanding the principle of “best interest of the company” as against that the the shareholder (when director and shareholder are the same person) |
